PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT LIMITATIONS ON OUR LIABILITY, A DISCLAIMER OF WARRANTIES, AN INDEMNIFICATION OBLIGATION, AND A GOVERNING-LAW AND VENUE PROVISION.

These Terms of Service (the "Terms") form a binding agreement between you and Reliable Heating Coil Inc. ("Reliable Heating Coil," "we," "our," or "us"), a business operating from Toronto, Ontario, Canada. By accessing this website (reliableheatingcoil.com), requesting a quote, or placing an order, you agree to these Terms. If you do not agree, do not use the website or place an order.

1. Eligibility

You must be at least 18 years old, have the legal capacity to enter a binding contract, and be ordering for lawful purposes. If you are ordering on behalf of a business, school, studio, or other entity, you represent that you are authorized to bind that entity to these Terms.

2. Custom-Manufactured Products

We manufacture heating elements and coils that are wound to specifications you provide or that you approve. Each order is a custom build. You are responsible for the accuracy of all specifications you provide, including (without limitation) supply voltage, phase, wattage, wire gauge, coil inside diameter, stretched length, tail length and orientation, and termination style. We may assist with calculations or suggest specifications based on your kiln make and model, but final approval rests with you. We do not independently verify that your specifications are correct for your kiln, controller, breaker panel, or installation environment.

3. Quotes and Pricing

Quotes are valid for thirty (30) days from the date issued unless stated otherwise. Quotes are based on the specifications and information provided to us at that time; if those change, the quote may change. All prices are in the currency stated on the quote (typically CAD) and exclude applicable taxes, duties, customs, brokerage, and shipping unless explicitly included. We reserve the right to correct typographical, pricing, or specification errors at any time, including after an order is placed, in which case we will notify you and you may cancel for a refund of any amount paid for the affected items.

4. Order Acceptance, Deposits, and Payment

Your submission of an order or a written approval of a quote is an offer to purchase. No contract is formed until we accept the order in writing (which may include email). We may decline or cancel any order, in whole or in part, at our discretion, in which case any amount paid for the cancelled portion will be refunded. Unless otherwise agreed in writing, payment is due in full before production begins. Late or returned payments may accrue interest at the lesser of 1.5% per month (18% per year) or the maximum rate permitted by applicable law, plus reasonable collection costs.

5. Changes and Cancellations

Because elements are custom-built, change requests after order acceptance may not be possible. If we can accommodate a change before production begins, additional charges may apply. If you cancel an accepted order before production begins, we will refund amounts paid, less any non-recoverable costs we have already incurred (for example, special-order materials). Once production has begun, custom orders are non-cancellable and non-refundable except where required by law or under the limited warranty in Section 8.

6. Production, Lead Times, and Shipping

Stated lead times and shipping estimates are good-faith estimates only and are not guaranteed. We are not liable for delays caused by suppliers, carriers, customs, weather, labour disruptions, or any other event outside our reasonable control. Unless otherwise agreed, shipment terms are FCA (Incoterms 2020) our Toronto facility: title and risk of loss pass to you when the order is handed to the carrier. You are responsible for inspecting the shipment on arrival and reporting any visible damage to the carrier and to us within seven (7) days.

7. Installation, Electrical Safety, and Customer Responsibility

OUR ELEMENTS ARE INDUSTRIAL ELECTRICAL COMPONENTS. INSTALLATION CARRIES RISK OF FIRE, BURNS, ELECTROCUTION, AND PROPERTY DAMAGE.

You agree that all installation, replacement, wiring, testing, and commissioning of our products will be performed by a licensed, qualified electrician or other competent person in accordance with the manufacturer's specifications for your kiln or appliance, the Canadian Electrical Code or applicable U.S. National Electrical Code, and all other applicable laws, codes, and standards. You are responsible for disconnecting power before any work, verifying compatibility with your kiln, controller, relays, and supply, and for ongoing safe operation. We are not responsible for installation, for verifying field conditions, or for any consequences of improper installation, use of incorrect parts, modification of our products, operation outside rated parameters, deferred maintenance, or use with damaged controllers, relays, or wiring.

8. Limited Warranty

We warrant that our products will be free from material defects in materials and workmanship for ninety (90) days from the date the product is delivered to you, when properly installed and operated within the rated parameters. To make a warranty claim, contact us within the warranty period with your order details and a description of the issue; we may request photographs and (where reasonable) return of the product for inspection at your expense. If we determine the product is defective and covered by this warranty, our sole obligation, and your sole remedy, is, at our option, repair, replacement, or refund of the price paid for the defective product. This warranty does not cover, and we have no obligation for, defects or failures caused by: (a) incorrect specifications supplied or approved by you; (b) installation by an unqualified person or installation not in accordance with applicable codes and the kiln manufacturer's instructions; (c) damaged, mismatched, or worn components such as relays, controllers, thermocouples, brick, or wiring; (d) over-firing, rapid temperature cycling, kiln atmospheres outside published limits, or operation outside the rated voltage or amperage; (e) ordinary wear; (f) accident, misuse, neglect, or unauthorized modification; or (g) external events such as power surges or contamination. This warranty is non-transferable and applies only to the original purchaser.

9. Disclaimer of Other Warranties

EXCEPT FOR THE LIMITED WARRANTY IN SECTION 8, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL OTHER WARRANTIES, REPRESENTATIONS, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

No advice, calculation, or information — whether oral or written — provided by us, our employees, or our representatives creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions our liability is limited to the extent permitted by law.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RELIABLE HEATING COIL AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, DAMAGE TO KILNS OR OTHER EQUIPMENT, INTERRUPTION OF BUSINESS, DOWNTIME, COST OF SUBSTITUTE GOODS OR SERVICES, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO THE WEBSITE OR ANY PRODUCT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Our total aggregate liability for any and all claims arising out of or relating to an order, the products supplied under it, or the website, whether in contract, tort (including negligence), strict liability, statute, or otherwise, will not exceed the amount actually paid by you to us for the specific product giving rise to the claim. This limit is cumulative across all claims.

11. Indemnification

You agree to defend, indemnify, and hold harmless Reliable Heating Coil and its owners, officers, directors, employees, agents, contractors, and suppliers from and against any and all claims, demands, suits, losses, liabilities, damages, judgments, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the website or products; (b) the specifications you provided or approved; (c) installation, wiring, operation, or maintenance of any product, including by any third party you engage; (d) your breach of these Terms; or (e) your violation of any law or the rights of any third party. We may, at our option, assume the exclusive defence and control of any matter subject to indemnification, in which case you will cooperate at your expense.

12. Third-Party Trademarks and Brand References

Brand and product names referenced on our website — including Skutt, L&L, Paragon, Olympic, ConeArt, Cress, Evenheat, Jen-Ken, AMACO, Nabertherm, Duncan, Kanthal, and others — are trademarks of their respective owners. We are not affiliated with, endorsed by, sponsored by, or otherwise connected to those companies. We reference these names solely to identify the kilns and appliances for which our replacement elements are intended (nominative fair use). Our products are aftermarket replacements and are not original equipment manufacturer (OEM) parts.

13. Our Intellectual Property and Website Use

All content on this website — including text, graphics, logos, photographs, illustrations, diagrams, technical guides, and software — is owned by Reliable Heating Coil or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive licence to access and use the website for personal, non-commercial purposes related to evaluating or placing an order. You will not: (a) copy, reproduce, scrape, republish, or redistribute content without our prior written permission; (b) use the website in any way that violates law, infringes rights, or disrupts service; (c) attempt to gain unauthorized access to any part of the website or our systems; (d) use automated means to access the website except where expressly permitted (e.g., by our robots.txt); or (e) use the website to develop a competing product or service.

14. Information Is Not Professional Advice

Technical guides, FAQ entries, blog posts, troubleshooting articles, and similar content on the website are general information only. They are not engineering, electrical, or safety advice for your specific equipment or installation. You should consult a qualified electrician, the kiln manufacturer, or other appropriate professional before relying on this information.

15. Force Majeure

We will not be liable for any delay or failure to perform that is caused by events outside our reasonable control, including acts of God, fire, flood, earthquake, severe weather, pandemic or epidemic, war, terrorism, civil unrest, government action, embargo, sanctions, labour disputes, supply-chain disruption, raw-material shortages, carrier delays, power or telecommunications failures, or internet outages.

16. Governing Law and Venue

These Terms, and any dispute arising out of or relating to them, the website, a quote, or an order, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and we submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, for any such dispute, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

17. Notices and Electronic Communications

You consent to receive communications from us electronically, including by email and by notices posted on the website. Electronic communications satisfy any legal requirement that a communication be in writing. Notices to us must be sent to the contact details below. Notices to you may be sent to the email address you provided with your order or quote request.

18. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

19. Changes to These Terms

We may update these Terms from time to time. The updated Terms take effect when posted on this page, and we will update the "Last Updated" date. Your continued use of the website or placement of any order after the update constitutes acceptance of the revised Terms. The Terms in effect at the time we accept your order govern that order.

20. General Provisions

Entire agreement. These Terms, together with any quote or written agreement we accept, are the entire agreement between you and us regarding their subject matter and supersede any prior agreements or understandings.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be modified only to the extent necessary to make it enforceable.

No waiver. Our failure to enforce any provision is not a waiver of that provision or any other.

Assignment. You may not assign or transfer these Terms or any order without our prior written consent. We may assign these Terms to an affiliate or in connection with a sale of our business.

No third-party beneficiaries. These Terms do not confer any rights on any person other than you and us.

Survival. Sections 2 (specifications), 7 (installation), 8–11 (warranty, disclaimer, liability, indemnification), 13 (IP), 16 (governing law), and 20 (general) survive termination of these Terms or completion of any order.
